General conditions of service

Last update

Version
1.1
To whom it applies
Customers with current subscription and those who evaluate to hire

In summary

  • Subscription gives right to use over the service, not ownership over the software.
  • The data that the client loads or generates remains his or her own, during and after the contract.
  • We publish the rules of price, renewal and term, instead of leaving them alone in the signed contract.
  • The customer can get out with his data: portability is not a service that is charged separately.
  • The platform provides operational information; financial, tax, and employment decisions remain the customer's.
  • Outputs of artificial intelligence features are a support tool, may contain errors, and must be verified.

This summary guides the reading and does not replace the text of the document.

01Contract object and structure

Drometra provides access to a cloud platform and, when the client contracts it, catch devices. Each relationship consists of these general conditions, a subscription form with the scope and price, the data processing annex and the service level agreement. In case of contradiction, the signed subscription form, then the data processing Annex, and ultimately these conditions prevail.

The subscription confers a right of use not exclusive, non-transferable and limited to the duration of the contract. It does not transfer ownership over the software, or right to its source code, or license over the brands.

02Data ownership

  • The customer's data are from the client.: everything that loads, and everything that your operation generates on the platform, belongs to you. Our right over them is limited to what is necessary to provide the service.
  • We do not acquire rights for use: using the platform does not give us a license on the customer's data for any purpose of our own.
  • Aggregate data: We can produce aggregated and irreversibly anonymous statistics on the use of the service, to operate and improve it. They never allow to identify a client, a fleet or a person, and are not marketed as a data product.
  • Portability: the customer can export his data at any time by API or request a full delivery, in structured and documented format, free of charge.

03The customer's obligations

  • Use the service in accordance with the law and the policy of acceptable use.
  • To have a legal basis for the personal data processed by the platform, and to inform the holders accordingly.
  • Maintain control of your credentials and the management of your users and permissions.
  • Do not exceed the contracted limits of vehicles, users or calls to the API without adjusting the subscription.
  • Notify us of any unauthorized use of your account you detect.

The capture configuration - what is measured, on who and for how long - is the customer's decision. Our platform hists the available ranges and warns, but does not replace that judgment.

04Price, billing and readjustment

  • Currency and taxes: the prices are expressed in the currency of the subscription form and do not include taxes, which are added as appropriate.
  • Inflation: the monthly or annual advance, as contracted, with the issuance of electronic tax documents.
  • Readjustment: prices can be adjusted once per annual period, warning 60 days in advance. If the adjustment exceeds the change of the period's CPI, the customer can end without penalty before it comes into force.
  • Mora: The delay becomes the current interest. Before the service is suspended we notice in writing 15 days in advance, and the suspension never implies data deletion.

05Surveillance, renewal and termination

  1. 1.The contract lasts for the period of the subscription form and is renewed for equal periods, unless notice of non-renewal is given 30 days in advance.
  2. 2.Any party may end up in serious non-compliance within 30 days of the written request.
  3. 3.The customer can end without penalty if we substantially modify these conditions to its detriment, if we readjust over the IPC, or if he fundamentally objects to a new sub-manager and there is no alternative.
  4. 4.At the end, the export period and the time limits for the removal of the platform's privacy notice apply.

No data hostage

We do not condition the export of data to the payment of amounts in dispute. A commercial disagreement is resolved by the appropriate ways, not by retaining information that is the customer.

06No decisions and no financial, tax, or legal advice

The platform records, calculates, and presents information about the customer's operations: kilometers, deliveries, costs, reports, documents and, when the customer contracts it, support for issuing electronic tax documents. That information is an input. Drometra does not make financial, credit, investment, pricing, or hiring decisions for the customer, and does not provide financial, tax, accounting, investment, or legal advice.

  • Tax obligations: the customer remains the taxpayer and is responsible before the Chilean Internal Revenue Service (SII) for the accuracy, timeliness, and content of its tax returns and documents, including those it issues with the help of the platform.
  • Business decisions: costs per route, margins, period-over-period comparisons, or projections are calculations on the uploaded data. Using them to set prices, invest, take on debt, or dismiss staff is up to the customer and its advisors.
  • Employment decisions: information about workdays, routes, or events does not by itself establish misconduct. Any measure concerning a worker requires human review and the procedure established by labor law.
  • Assistants: the above also applies to the answers of Michiva and any other assistant on the platform: they explain data, they do not advise.

07Results generated with artificial intelligence

Some features use artificial intelligence models: third-party language models to draft or interpret queries in Michiva, when the customer has that layer enabled, and vision models that run on the device in Drometra Vision, currently in the lab. Their outputs are supportive and may be incomplete or incorrect. The customer must verify them before basing on them any decision with effects on people, money, or third parties.

The figures shown by the platform are calculated with deterministic rules on the customer's data; they are not invented by a language model. The model providers, the no-training guarantees, and the applicable retention are described in the notice “Michiva and artificial intelligence providers.”

08Features in beta, lab, or pilot

Features identified as beta, lab, pilot, or preview are provided as is, for evaluation, with no service level commitment and no compensation for unavailability. They may be changed, limited, or withdrawn with reasonable notice. Their use with real people's data requires a specific agreement setting out the purpose, retention periods, and responsibilities, unless the subscription form states otherwise.

09Guarantees and liability

We provide the service with the diligence of a professional provider and in accordance with the service level agreement. We do not guarantee that the service will be uninterrupted or error-free, or that a detection or artificial intelligence feature will identify all relevant situations.

Support systems do not replace the driver

Drometra Vision is in the lab: today it records road video and experimental detection signals, and does not yet issue collision or fatigue alerts. When they exist, they will be aids to safety management, not autonomous driving systems, and will not replace the driver's attention or the operator's supervision. No platform feature acts on the vehicle.

With the exception of serious pain or guilt, and with the exception of the damage that the law does not allow to limit, the liability of each party is limited to the amounts actually paid in the 12 months prior to the fact. The limitations do not affect the confidentiality obligations or those arising from the data protection regulations.
